On July 21, 2026, the Registrant issued a press release announcing that its Board of Directors declared a $0.03 per share quarterly common stock cash dividend. The cash dividend is payable August 17, 2026 to shareholders of record on August 3, 2026. The press release, attached hereto as Exhibit 99.1, is incorporated herein.
