1. Agreement to Terms

By accessing or using OpenCapital ("Service," "Platform," or "Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

OpenCapital is a research platform that turns public SEC filings into structured, queryable financial data for U.S.-listed companies. The Service includes company profiles, metric pages, segment breakdowns, earnings calendars, and a Model Context Protocol (MCP) server that lets AI assistants query the same data.

Not Financial Advice

The information provided through our Service is for informational and educational purposes only. We do not provide financial, investment, trading, or legal advice. You should not rely on our Service as a substitute for professional financial advice from a qualified financial advisor.

No Investment Recommendations

Nothing on this Platform should be construed as a recommendation to buy, sell, or hold any security or investment. All investment decisions are made at your own risk, and you should conduct your own research and due diligence before making any investment decisions.

Data Accuracy

While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or timeliness of any data on our Platform. Financial data may be delayed, incomplete, or contain errors.

Investment Risk and Derived Data

OpenCapital is built to help you research public companies and form your own view. Before you act on anything you see on the site, three things to keep in mind:

  • Past performance is not indicative of future results. Historical revenue, margins, growth rates, and segment trends describe what has happened — not what will happen. Markets move on expectations and surprises that no historical dataset can predict.
  • Our derived numbers are interpretations of the underlying filings. TTM aggregates, segment attribution, metric classification, fiscal-to-calendar period mapping, and similar calculations involve judgment on top of what the issuer filed. We work hard to get them right and document our approach on the methodology page, but they can contain errors. When a number really matters to a decision, verify it against the underlying 10-K or 10-Q.
  • Any investing or trading you do based on this data is at your own risk. OpenCapital does not know your portfolio, your risk tolerance, your tax situation, or your goals, and does not — and cannot — tailor what you read to your circumstances. By using the Service you accept that we are not responsible for losses arising from decisions made on the basis of information you find here.

4. User Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Attempt to gain unauthorized access to any portion of the Service or any systems or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any automated means (including bots, scrapers, or spiders) to access the Service without our express written permission
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission
  • Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature
  • Impersonate any person or entity or misrepresent your affiliation

6. Intellectual Property

The Service and its original content, features, and functionality are owned by OpenCapital and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not use our trademarks, logos, or branding without our prior written consent.

Dataset License

The financial datasets published on OpenCapital — including metric pages, segment breakdowns, and time-series data — are derived from public SEC filings. The underlying SEC filings are in the public domain, but OpenCapital's compilation, normalization, classification, and derived calculations (including TTM rollups, segment attribution, and metric taxonomy) are proprietary and protected by copyright as a database and compilation work.

You may view and reference this data for personal, non-commercial research and may cite individual figures with attribution to OpenCapital. Bulk extraction, redistribution, resale, mirroring, or use as input to a competing financial-data product is not permitted without prior written permission. Automated access (scraping, crawling beyond standard search engine indexing) requires explicit authorization.

7. Third-Party Data and Links

Our Service may contain data sourced from third parties, including the SEC and other financial data providers. We are not responsible for the accuracy or reliability of third-party data. The Service may also contain links to third-party websites that are not owned or controlled by OpenCapital. We have no control over and assume no responsibility for such third-party content.

8. Google Services Integration

Sign in with Google

You may choose to sign in to OpenCapital using your Google account. By doing so, you authorize us to access certain information from your Google account, including your name, email address, and profile picture. Your use of Google's services is subject to Google's Terms of Service and Privacy Policy.

Google Calendar Integration

OpenCapital offers optional integration with Google Calendar to help you track earnings announcements. By granting calendar access, you authorize us to:

  • Create calendar events for earnings announcements you select
  • Remove calendar events that you request to be deleted
  • Store references to created events to display their status

We do not read, modify, or access any other events in your calendar. You can revoke this access at any time through your Google Account settings.

Google Trademarks

Google, Google Calendar, and the Google Calendar logo are trademarks of Google LLC. OpenCapital is not affiliated with, endorsed by, or sponsored by Google. Our use of these trademarks is solely for the purpose of identifying the integration features we provide.

9. Connecting Financial Accounts (Plaid)

OpenCapital offers an optional feature that lets you connect a brokerage or other investment account so you can view your holdings alongside our research. To enable this, we use Plaid Inc. ("Plaid"), a third-party financial data provider.

By connecting an account, you authorize OpenCapital and Plaid to access and retrieve information from the financial institution you select, including account and institution names, account balances, investment holdings, securities information, and investment transactions. You represent and warrant that you are the owner of, or are otherwise authorized to access and use, any financial account you connect.

You grant Plaid the right, power, and authority to access and transmit your information as reasonably necessary to provide this feature. Your use of Plaid is governed by Plaid's End User Privacy Policy, and you agree to its terms. We never receive or store your financial institution login credentials — those are handled directly by Plaid.

Holdings and account data displayed through this feature are provided for informational purposes only, may be delayed, incomplete, or contain errors, and do not constitute financial, investment, or trading advice or any recommendation. The disclaimers in Section 3 apply in full to this data.

You may disconnect a linked account at any time from your OpenCapital account settings. Disconnecting revokes our ongoing access to that account and stops further data retrieval; you may separately request deletion of previously retrieved data as described in our Privacy Policy.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any investment decisions or actions taken based on information from the Service
  • Any errors, inaccuracies, or omissions in any content or data provided through the Service
  • Unauthorized access, use, or alteration of your data

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

12. Indemnification

You agree to defend, indemnify, and hold harmless OpenCapital and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the United States.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and OpenCapital regarding the use of the Service and supersede all prior agreements and understandings.
